1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the Poralab mobile application, website, and related services (collectively, the "Service") operated by Poralab ("we", "us", "our").
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to all terms, you must not use the Service.
2. Eligibility & Account Creation
- You must be at least 13 years of age (or the age of majority in your jurisdiction, whichever is greater) to use the Service.
- You must provide accurate, truthful, and complete account information.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
- You may not create more than one personal account without prior written approval.
- Accounts registered by bots, scripts, or automated methods are subject to immediate termination.
3. User Conduct & Acceptable Use Policy
3.1 You agree NOT to:
- Use the Service for any illegal, harmful, or unauthorized purpose
- Harass, bully, threaten, or discriminate against any individual or group
- Post, share, or transmit content that is hateful, violent, explicit, or infringing
- Impersonate another person, entity, or Poralab staff
- Distribute spam, pyramid schemes, phishing links, or malware
- Attempt to gain unauthorized access to other accounts, systems, or networks
- Scrape, copy, reproduce, or resell the Service without written consent
- Engage in vote manipulation, brigading, or review fraud
- Interfere with or disrupt the Service's availability, servers, or networks
- Reverse-engineer, decompile, or modify the Service or its underlying software
3.2 Academic Integrity
As an EdTech platform, we expect ethical use of our study tools:
- Do not use the flashcard or exam solver features to cheat on graded assessments or live exams
- Respect your institution's honor codes and examination policies
- We reserve the right to suspend or disable AI-powered features for accounts suspected of misuse
4. Content Ownership & Licensing
4.1 Your Content
You retain full ownership and copyright of all content you upload, post, or otherwise submit through the Service (posts, comments, images, messages, study materials, etc.).
By submitting content, you grant Poralab a worldwide, non-exclusive, royalty-free, transferable, sub-licensable license to:
- Host, store, reproduce, display, and distribute your content on the Service
- Modify, adapt, and format your content for technical delivery
- Promote the Service using aggregated, anonymized data (never your personally identifiable content without consent)
4.2 Our Content
The Service and its original content, features, design elements, logos, and trademarks are and shall remain the exclusive property of Poralab and its licensors. You may not use, copy, or distribute any of our intellectual property without prior written consent.
5. Moderation & Content Removal
- We reserve the right (but not the obligation) to review, moderate, flag, or remove any content that violates these Terms or community standards.
- Content that receives multiple user reports may be hidden pending manual review.
- Severe or repeated violations may result in account suspension or permanent ban at our sole discretion.
- Banned users may not create new accounts under the same or alternate identities.
6. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference into these Terms. Please read it carefully to understand how we collect, use, and protect your information.
7. Paid Features & Subscriptions
Certain features of the Service may be offered on a paid or subscription basis.
- All payments are processed through authorized payment providers (Google Play Billing, Apple App Store).
- Subscriptions auto-renew unless cancelled at least 24 hours before the period ends.
- Refunds are handled per the policies of the respective app store, except where applicable law provides otherwise.
- We reserve the right to change pricing with 30 days' prior notice to active subscribers.
8. Third-Party Links & Services
The Service may contain links to third-party websites, services, or advertisements. We do not endorse and are not responsible for the content, privacy policies, or practices of any third-party providers. Your interactions with third parties are solely between you and the third party.
9. Disclaimers & Limitation of Liability
9.1 Service "AS IS"
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9.2 No Warranty of Availability
We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We may modify, suspend, or discontinue any part of the Service at any time without prior notice.
9.3 Limitation of Liability
To the maximum extent permitted by law, Poralab and its officers, directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from or related to your use of the Service.
Our total aggregate liability under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim, or BDT 500, whichever is greater.
10. Indemnification
You agree to defend, indemnify, and hold harmless Poralab and its officers, directors, employees, and partners from any and all claims, liabilities, damages, losses, costs, investigations, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your violation of these Terms
- Your content or user-generated submissions
- Your violation of any third-party right (including intellectual property, privacy, or publicity)
- Any claim that your conduct caused harm to a third party
11. Termination
- You may terminate your account at any time through Settings → Delete Account.
- We may terminate or suspend your account immediately for violations of these Terms or for any other reason at our sole discretion.
- Upon termination, your right to use the Service ceases immediately.
- Certain sections of these Terms (including Content Ownership, Liability, Indemnification, and Dispute Resolution) survive termination.
12. Dispute Resolution
12.1 Informal Resolution
Before initiating any formal proceedings, both parties agree to first attempt to resolve any dispute informally by contacting the other party in writing and engaging in good-faith negotiation for at least 30 days.
12.2 Governing Law
These Terms and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh, without regard to its conflict of law principles.
12.3 Jurisdiction
The parties agree that any legal action or proceeding shall be exclusively brought in the courts of Dhaka, Bangladesh, and each party hereby consents to the personal jurisdiction of such courts.
13. Changes to Terms
We may revise these Terms at any time. Material changes will be communicated via in-app notification or email at least 7 days prior to the effective date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
14. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
